Manager, Company Secretarial - Legal & Secretarial

Looking for an experienced and knowledgeable Company Secretary to manage and oversee our organisation's corporate secretarial function. The ideal candidate will have a deep understanding of company law, regulations, and best practices.They will be responsible for ensuring compliance with legal and regulatory requirements, maintaining accurate records, and providing strategic advice to senior management.

Job Requirements

Degree holder (Bachelor of Laws or equivalent) /Professional qualification(MAICSA/MACS/equivalent).
Excellent written and verbal English communication skills.
Well-versed with Companies Act 2016
Malaysian citizen with an ICSA qualification or as a Licensed Secretary with SSM and a minimum of 7 years of experience in company secretarial work
At least 5 years related experience in corporate secretarial functions.
Exposure in a public listed group of companies is an added advantage.

Responsibilities

Providing company secretarial guidance/advice to the board of directors and the management and be accountable for all company secretarial duties including compliance with the relevant regulatory requirements.
Planning/implementing procedural and administrative systems to ensure effective and efficient administration
Ensure statutory obligations under any governing laws, regulations and any relevant legislations are met
Ensure proper and timely filing of statutory forms, documents, and financial statements with the relevant regulatory authorities and stakeholders.
Preparing and reviewing meeting materials and draft documents prepared by direct reports before finalizing for
circulation.
Assist to ensure smooth preparation of pre-board meetings, board meeting, board sub-committee meetings,management meetings including uploading agendas, proposal papers in folders for the meetings.
Keeping the company abreast/aware of the developments/changes of new and existing reporting and other requirements imposed by the statute under which the companies are incorporated.
